PUBLIC CONTRACT (TEND) <\/span>on the provision of information services and the sale of digital materials<\/span><\/h1>

This document is a public offering (<\/span>offer<\/span>) to conclude an agreement in accordance with Articles 633, 641\u2013642 of the Civil Code of Ukraine and the Law of Ukraine \u00abOn Electronic Commerce\u00bb. Acceptance of the offer is considered to be payment for the order and\/or placing an order on the Site, which is equivalent to concluding an agreement in electronic form.\u00a0 <\/span><\/span><\/p>

1. Terms <\/span>and parties<\/span><\/h2>

1.1. <\/span>Digital guides\/materials<\/span> \u2014 electronic files (PDF, accessible web pages, other digital formats) provided after payment.<\/span><\/p>

1.2. <\/span>User \/ Buyer<\/span> \u2014 an individual or legal entity that has accepted the terms of this offer by acceptance and orders\/pays for goods\/services on the Site.<\/span><\/p>

1.3. <\/span>Order<\/span> \u2014 a properly completed request for the purchase of Digital Guides through the Site's functionality.<\/span><\/p>

1.4. <\/span>Seller \/ Contractor<\/span> \u2014<\/span>Private entrepreneur Skuridina Maria Vadimovna, TIN \/ EDRPOU: 3697705503. <\/span>Individual entrepreneur - single tax payer <\/span>2 groups<\/span>, <\/span>is not a VAT payer<\/span> (clause 1.6).<\/span><\/p>

1.5. <\/span>Website<\/span> \u2014 the Seller's web resource, which hosts the offer and sells digital products (guides), as well as publishes materials.<\/span><\/p>

1.6. <\/span>Taxes<\/span>. Seller - individual entrepreneur of group 2, <\/span>VAT is not charged.<\/span>. All prices on the Site are in hryvnia (UAH), unless otherwise indicated.<\/span><\/p>

2. General provisions and legal basis<\/span><\/h2>

2.1. This document is <\/span>public offer<\/span> within the meaning of Articles 633, 641, 642 of the Civil Code of Ukraine and a contract concluded in electronic form in accordance with the Law of Ukraine "On Electronic Commerce". Acceptance is considered to be the Buyer's performance of actions indicating acceptance of the terms (see clause 3).<\/span><\/p>

2.2. The relations of the parties are also regulated by the Law of Ukraine "On Consumer Rights Protection" and the Law of Ukraine "On Digital Content and Digital Services" (regarding the conformity of digital content and means of protecting consumer rights).<\/span><\/p>

3. Acceptance of the Offer and the moment of conclusion of the Agreement<\/span><\/h2>

3.1. Acceptance of this Offer is any of the following actions by the Buyer:<\/span><\/p>

\u2014 clicking the \u00abBuy\/Pay\/Place order\u00bb button;<\/span><\/p>

\u2014 payment of an invoice or successful online payment;<\/span><\/p>

\u2014 receiving access\/link to the digital product after payment.<\/span><\/p>

3.2. From the moment of acceptance, the Agreement is considered concluded in written (electronic) form.<\/span><\/p>

4. <\/span>Subject of the Agreement<\/span><\/h2>

4.1. The Seller undertakes to provide the Buyer with a digital product (guide) in accordance with the procedure and terms of this Offer; the Buyer undertakes to pay the established price.<\/span><\/p>

4.2. For digital products, \u00abdelivery\u00bb means <\/span>granting access<\/span>: link to download\/view, send file to email or provide access in an account\/through a third-party service.<\/span><\/p>

4.3. Access to the product is provided in the form of a link for download or viewing.<\/span><\/p>

4.4. Nature of materials \u2014 <\/span>informative<\/span>; we do not provide medical, financial or legal advice.<\/span><\/p>

5. Ordering<\/span><\/h2>

5.1. The Buyer independently selects the product on the Site, checks the description, price, currency and payment method.<\/span><\/p>

5.2. Full name and email may be required to place an order; other data may be required as needed (delivery, accounting documents, etc.).<\/span><\/p>

5.3. The Seller has the right to refuse to process the order in cases of violation of the law\/terms of the Agreement or if there are grounds to consider the order fraudulent.<\/span><\/p>

5.4. The order is placed on the Site via<\/span> payment service integration (WayforPay). P<\/span>Before confirming, the Buyer checks the name of the material, price and access conditions.<\/span><\/p>

5.5. After confirming the order, a letter\/link to download or access the Materials is sent to the Buyer's e-mail.<\/span><\/p>

5.6. In case of a technical error (double payment\/double), the Buyer immediately contacts support: modedelife@gmail.com<\/span>.<\/span><\/p>

6. Prices and payment<\/span><\/h2>

6.1. Prices are indicated on the product page on the Site. If the price is changed after the order is placed, the price at the time of acceptance applies.<\/span><\/p>

6.2. Payment is made cashless through payment services available on the Site: Visa\/Mastercard bank card, Apple Pay, Google Pay through the integrated provider WayForPay or other integrated providers.<\/span><\/p>

6.3. Payment system fees, currency conversion (if payment is not in hryvnia) - according to the rules of the relevant service\/bank.<\/span><\/p>

6.4. <\/span>VAT is not charged.<\/span> (Seller is a group 2 individual entrepreneur, VAT non-payer). If necessary, this is indicated separately in fiscal documents.<\/span><\/p>

6.5. Payment is made through integrated payment services; payment security is ensured by these services. <\/span>The Seller does not store or process the Buyer's payment data (card number, CVV, etc.).<\/span><\/p>

7. Delivery\/Provision of Access to Digital Materials<\/span><\/h2>

7.1. Access is provided after payment confirmation and order processing during business hours (daily from 9:00 to 21:00): via <\/span>download link<\/span> and\/or <\/span>sending the file to the Buyer's email.<\/span><\/p>

7.2. If access is not received within 24 hours, the Buyer should contact the following address: modedelife@gmail.com. The Seller checks the payment and <\/span>urgently<\/span> provides access\/alternative link.<\/span><\/p>

7.3. Access period: <\/span>indefinitely, <\/span>unless otherwise stated on the product page.<\/span><\/p>

7.4. The buyer is responsible for the correctness of the email address.<\/span><\/p>

7.5. Digital goods do not require physical delivery.<\/span><\/p>

8. Intellectual property rights<\/span><\/h2>

8.1. All materials on the Site and Digital Guides are subject to copyright.<\/span><\/p>

8.2. The Buyer is provided with <\/span>personal, non-exclusive, non-transferable license<\/span> for use for private purposes.<\/span><\/p>

8.3. Reproduction, distribution, public display, transfer to third parties, resale, or posting to the public domain without the written consent of the Seller is prohibited.<\/span><\/p>

8.4. All intellectual property rights to the content belong to the Seller (or other rights holders - under license).<\/span><\/p>

9. Compliance and technical requirements<\/span><\/h2>

9.1. The Buyer ensures that there is a device\/software to open files (e.g., PDF reader, stable internet connection).<\/span><\/p>

9.2. If the file is damaged\/the link does not work - The Seller provides free access\/replacement of the file within a reasonable time.<\/span><\/p>

10. Rights and obligations of the parties<\/span><\/h2>

10.1. We undertake to provide access to paid materials; provide technical support during working hours.<\/span><\/p>

10.2. The Buyer undertakes: to provide correct data, not to violate copyrights, and to comply with the terms of access.<\/span><\/p>

10.3. We may temporarily restrict access for maintenance with notice.<\/span><\/p>

10.4. The Seller has the right to change prices for goods without prior notice; to restrict access in the event of copyright infringement by the Buyer.<\/div>

11. <\/span>Refund Policy<\/b><\/h2>

11.1. The policy applies to purchases <\/span>Digital guides\/materials<\/span> on the Site <\/span>https:\/\/modedelife@gmail.com<\/span>.<\/span><\/p>

11.2. Before granting access<\/b> (until the link\/file is received) The buyer can cancel the order and receive 100% return<\/b>.<\/p>

11.3. After granting access<\/b> to a digital product refund usually not carried out<\/b>, since the service is considered to be provided (exceptions \u2014 clauses 11.4\u201311.6). The approach is consistent with the principles of digital content regulation (remedies for the consumer in case of non-compliance are applied).<\/p>

11.4. Double charge\/recharge<\/b> \u2014 full refund of overpaid funds, after confirmation by the payment service.<\/p>

11.5. Technical malfunction<\/b> (file does not open\/link does not work) \u2014 first of all, re-grant access\/replace the file; if during 3 business days<\/b> the problem is not resolved due to the Seller's fault - return 100%.<\/p>

11.6. Wrong order<\/b> (wrong product) - provided that there is no fact of download\/access: 100% return or exchange for another product with additional payment\/credit of the difference.<\/p>

11.7. The refund is made by the same payment method (or another one agreed upon by the parties), the deadline is until 14 working days<\/b> after confirming the grounds.<\/p>

11.8. The return request shall be sent to: modedelife@gmail.com<\/span> indicating full name, order email, date and payment confirmation (check\/transaction ID). We acknowledge receipt of your request within <\/span>1 business day<\/span> and provide solutions throughout <\/span>7 working days<\/span>.<\/span><\/p>

11.9. Refunds <\/span>not carried out<\/span>, if:<\/span><\/p>

  • the buyer expected different content than indicated in the description;<\/span><\/p><\/li>

  • problems arose that are beyond the Seller's control (email errors, technical limitations of the Buyer's device);<\/span><\/p><\/li>

  • the goods have already been loaded by the Buyer.<\/span><\/p><\/li><\/ul>

    11.10. By agreement of the parties, it is possible to provide <\/span>alternative access<\/span> (another guide) instead of a refund.<\/span><\/p>

    12. Personal data and privacy<\/span><\/h2>

    12.1. Personal data is processed in accordance with applicable law and <\/span>Privacy policies<\/span> Seller (posted on the Site).<\/span><\/p>

    12.2. Payment card data is processed <\/span>payment provider<\/span>; The site does not store card details.<\/span><\/p>

    12.3. Communication is carried out by electronic means; electronic messages have the legal force of an electronic document.\u00a0 <\/span><\/span><\/p>

    13. Liability and limitations<\/span><\/h2>

    13.1. The Seller is not responsible for interruptions in the operation of the Site\/providers caused by actions of third parties, force majeure, communication failure or Buyer's software.<\/span><\/p>

    13.2. The Seller's aggregate liability for any claims is limited to <\/span>the amount of the price actually paid<\/span> the corresponding product.<\/span><\/p>

    13.3. The buyer is responsible for the accuracy of the data provided during payment.<\/span><\/p>

    13.4. In case of violation of the terms of this agreement, the parties shall be liable in accordance with applicable law.<\/span><\/p>

    14. Force majeure<\/span><\/h2>

    14.1. The Parties are exempt from liability for partial or complete failure to fulfill obligations due to force majeure circumstances (military actions, emergencies, power outages, cyber incidents, etc.) for the period of their validity, which is confirmed by documentation (if available).<\/span><\/p>

    15. Making changes to the Offer<\/span><\/h2>

    15.1. The Seller may change the terms of the Offer by publishing a new version on the Site indicating the update date.<\/span><\/p>

    15.2. For already paid orders, the version of the Offer at the time of acceptance applies.<\/span><\/p>

    16. Dispute Resolution, Applicable Law<\/span><\/h2>

    16.1. Disputes are resolved through negotiations; in case of failure to reach an agreement - in accordance with the procedure provided for by the legislation of Ukraine, taking into account the rights of the consumer.<\/span><\/p>

    16.2. Applicable law \u2014 <\/span>law of Ukraine<\/span>. The competent court is according to the general rules of jurisdiction of the legislation of Ukraine.<\/span><\/p>

    17. Public offer and electronic consent<\/span><\/h2>

    17.1. The fact of payment for a digital product means the Buyer's full and unconditional agreement with the terms of this Agreement.<\/span><\/p>

    17.2. This Agreement is equivalent to a written agreement in accordance with the Law of Ukraine "On Electronic Commerce".<\/span><\/p>
